WOFFU SOFTWARE LICENSE AGREEMENT
1. SOFTWARE LICENSE AGREEMENT.
WOFFU JOB ORGANIZER, S.L. is the owner and holder of the exploitation rights (expressly including the rights of reproduction, modification, distribution, and transformation, by any means currently known or that may arise in the future as a result of current technologies) of the WOFFU software program subject to this license, encompassing its source code, object code, related documentation, appearance, structure, design, and organization.
The software program subject to this license is protected by the Spanish Intellectual Property Law (LPI), as well as by international conventions and treaties on the matter signed by Spain.
The Woffu software program allows for the easy optimization of people’s time management, minimizing manual intervention and automating tasks.
By this document, Woffu Job Organizer, SL, upon full payment of the corresponding amount, grants the LICENSEE a license to use the software program under the terms specified in this document, expressly reserving all rights it holds over it.
The content of said license is supplemented by (1) the Terms and Conditions (“T&C”) available at https://woffu.com/terminos-y-condiciones/, (2) the Woffu Conditions of Use (“CU”) available at https://woffu.com/legal/ and (3) the Privacy Policy (“PP”) available at https://woffu.com/politica-de-privacidad/.
By accepting the terms of this license, the Client also accepts the T, the CU, and the PP (collectively the “Contract”), with the understanding that the content of this document prevails over the terms defined in other documents owned by Woffu.
Woffu will notify the Client of any modifications made to the T, CU, or PP, which will be available at these same URLs.
The commercial terms of the agreement are incorporated into this license, including the budget approved by the Client and the conditions for termination, renewal, payment and billing policy, among other conditions of use of the program, as well as the agreement for the processing of data for which Woffu is considered the Data Processor.
2. CONTENT OF THE LICENSE.
This license grants the non-transferable and non-exclusive right to access the licensed software product from a computer and use it for the number of authorized users listed therein and specified at the time of contracting the license.
The authorized users linked to the license must belong to the licensee’s organization and maintain an employment relationship with them; shared ownership of a license between two or more different organizations is expressly prohibited.
The number of authorized users linked to this license may be increased or decreased according to the changes the licensee may experience in its workforce.
The granted license includes all updates to the software program subject to it.
By accepting the terms of this license, the client agrees that Woffu Job Organizer, S.L. may collect and use personal data of users for the sole purpose of the functionality and usability of the software program. Such information will be used only for the provision of the service subject to the licensed software product.
3. PROHIBITIONS AND RESERVATION OF RIGHTS
Reverse engineering.
The user may not apply reverse engineering techniques, decompile, or disassemble the Software, nor perform any other operation aimed at discovering the source code.
The use of the Software as a single product is authorized. Its component parts may not be separated or used separately.
Transfer to third parties.
It is strictly prohibited to lease, lend, assign in any other way, or distribute the licensed software product.
Reservation of rights.
Woffu Job Organizer, SL expressly reserves the exploitation rights it holds over the licensed software product, including the rights of reproduction, transformation, public communication, and distribution in all possible forms of exploitation known today or that may be developed in the future as a result of current technologies.
As it is a standard software product, the client is not authorized to transform or reproduce it, including error correction, even though such acts may be necessary for its use by the legitimate user in accordance with its intended purpose; the rectification of such errors corresponds to Woffu.
4. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY.
Disclaimer of warranties.
With the granting of this license, Woffu Job Organizer does not grant any other additional warranty beyond those legally required.
The LICENSEE assumes all responsibility derived from the use or misuse of the software before any person or entity, expressly exonerating Woffu Job Organizer, SL from any liability.
Subject to legal warranties, the product is provided ‘as is’, without any other warranty, explicit or implicit, therefore excluding, but not limited to, warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, enjoyment, and non-infringement of third-party rights. The choice of the appropriate program for the desired results, as well as its installation, use, and results, are the responsibility of the LICENSEE.
No verbal or written information or advice provided by Woffu Job Organizer SL or a representative thereof shall constitute a warranty.
Limitation of liability.
Within the legal limits of Spanish legislation, Woffu Job Organizer, S.L. shall in no case be liable to the licensee for personal injury or any indirect, incidental, consequential, punitive, or special loss or damage, including but not limited to any loss of profits, loss of income, loss of savings, or actual or any other type of losses, such as loss of data, third-party claims, loss of goodwill, sanctions imposed by the labor authority, business interruption, or any other type of business loss or damage resulting from or related to the use or misuse of the licensed software product, even if Woffu Job Organizer, S.L. has been informed.
The total cumulative liability of Woffu during the term of the contract shall not exceed a total amount equivalent to 12 months of fees. The limitation of liability shall not apply in cases of gross negligence or willful misconduct.
5. APPLICABLE LAW AND JURISDICTION.
For the resolution of any disputes that may arise in relation to the interpretation and execution of this license, both parties expressly submit to the jurisdiction of the Courts and Tribunals of Barcelona, expressly waiving any other that may correspond to them.
This document represents the entire expression of the will of the parties in relation to the license granted herein and supersedes all previous or current agreements in relation to its subject matter.
The terms of this license may only be modified by means of a written contract signed with Woffu Job Organizer SL.
