PURPOSE AND ACCEPTANCE

These General Terms and Conditions govern the purchase of the services offered on the website www.woffu.com, owned by WOFFU JOB ORGANIZER SL (hereinafter, WOFFU).

The purchase of any of the services implies full and unreserved acceptance of each and every one of these General Terms and Conditions, without prejudice to the acceptance of any Specific Terms and Conditions that may apply when purchasing certain services.

These General Terms and Conditions may be amended without prior notice. Therefore, we recommend reading them carefully before purchasing any of the services offered.

IDENTIFICATION

On the one hand, WOFFU, in compliance with Act 34/2002 of 11 July on Information Society Services and Electronic Commerce (LSSI-CE), informs you that:

Both parties acknowledge each other’s legal capacity to enter into contracts and be bound in the respective capacities in which they act and, by virtue of this Agreement (as defined in the Commercial Terms and Conditions), agree to the following Service Terms and Conditions.

All notifications and communications between users and WOFFU will be considered valid, for all purposes, when made through any of the means detailed above.

SERVICES

Details of the services offered, together with their main features, are set out in the pricing section at https://woffu.com/precios-woffu/

WOFFU reserves the right to decide, at any time, which products and/or services are offered to Clients. Accordingly, WOFFU may add new products and/or services to those currently offered at any time. Likewise, WOFFU reserves the right to withdraw or stop offering any of the services at any time, without prior notice.

This is without prejudice to the fact that the purchase of some services may only be made by subscribing or registering as a USER, with WOFFU providing the interested party with a username and password, which will identify them and personally enable them to access the services.

Once on www.woffu.com, to purchase the different services, the User must follow all the instructions indicated in the purchasing process, which will imply reading and accepting all the general and specific terms and conditions set out on www.woffu.com.

PURCHASING AND/OR PROCUREMENT PROCESS

To make any purchase on www.woffu.com, the client must be of legal age.

In addition, the client must register on www.woffu.com via a data collection form, providing WOFFU with the information required for the purchase. In any case, this data must be truthful, accurate and complete regarding their identity, and the client must expressly consent by accepting WOFFU’s privacy policy.

The steps to make a purchase are:

User registration.

Select product.

Select payment frequency.

Order confirmation.

We also recommend that the client prints and/or saves a copy of the sales terms and conditions on a durable medium when placing the order, as well as the acknowledgement of receipt sent by WOFFU by email.

BILLING

For this purpose, the client agrees to receive the invoice electronically. They may revoke this consent electronically at any time to receive the invoice on paper.

TERM, RENEWAL AND CANCELLATION OF THE AGREEMENT

TERM: 12 months.

RENEWAL: Automatic.

CANCELLATION: 30 days before the renewal date.

ADDITIONAL CONTRACTUAL CONDITIONS

Price and term

The Client undertakes to pay all amounts due under this agreement on time. If the Client fails to meet the agreed payment deadlines, Woffu may, after seven business days from the due date, suspend the service and deem this agreement terminated by operation of law, and the amount for the services actually provided will become payable.

The service fee will be updated annually by applying the corresponding CPI, unless longer contract periods are negotiated, in which case the agreed terms will apply.

If, due to specific circumstances, including but not limited to changes or enhancements to the services provided through the platform, a significant increase in Client traffic, regulatory changes, etc., the service fee may be reviewed upwards.

If such an increase occurs, it will be communicated to the Client, with justification for the increase, at least 30 days before the contract expiry date. If, after receiving the notice, the Client decides not to continue using the platform, they may cancel without any penalty.

Service availability

The service purchased by the Client will be available 24 hours a day, 365 days a year, and specifically during European Business Hours, from 8:00 AM to 8:00 PM Western European Time.

However, the service may be temporarily interrupted due to maintenance, upgrades or changes to the platform and similar matters (“Scheduled Maintenance”), and technical incidents (“Downtime”).

Woffu undertakes to give at least 24 hours’ notice on its portal or by other means of any interruptions due to foreseeable circumstances, such as maintenance and connectivity outages notified by providers. In such cases, Woffu will use its best efforts to carry out scheduled maintenance outside European Business Hours.

Woffu undertakes to resolve incidents or repair the purchased service as quickly as possible and to notify the Client of any potential delay in restoring the service.

Availability: Service availability is the percentage of time the product is available to users. It is measured in calendar months.

Termination

In addition to the general grounds provided by law, the agreement will end in the following cases:

  1. a) Expiry of the initial term or any extensions.
  2. b) Termination due to breach by either party of the obligations arising from the agreement.

Termination of the agreement on these or other grounds does not exempt the parties from fulfilling any obligations they have assumed.

Availability of support

We provide technical support to clients as part of our Customer Success Packages.

All technical support is provided during the following hours: Monday to Thursday: 8:30 AM–7:00 PM and Friday: 8:30 AM–2:30 PM (Western European Time).

Confidentiality and non-disclosure

The Woffu Service, including the ideas and concepts contained in it and the documentation accompanying the Woffu Service, including the Agreement, constitutes our confidential information. You must not disclose the details of the Woffu Service, or any part of it, to any third party.

This section will survive termination of this agreement until and to the extent that such information becomes public (except due to a breach of these obligations).

Technical requirements

Woffu is a web application, so a network connection is essential for desktop or laptop computers.

Woffu is compatible with the following browsers: Chrome 84 or later, Firefox 79 or later, Safari 12, Edge 80 or later. Microsoft Internet Explorer is not supported.

The Woffu Mobile App is compatible with iOS 11.0 or later and Android 5.0 or later.

Security

Woffu’s production environment is hosted in the Microsoft Azure cloud (https://docs.microsoft.com/en-us/azure/security/azure-security), with a multitenancy architecture that ensures the requirements needed to maintain an information security management system. Communication between the browser and Woffu is secured with 256-bit Secure Socket Layer (SSL AES-256, 256-bit keys). All connections are protected by authentication and authorisation. All user operations are logged along with their IP addresses and other session data.

Woffu contractually ensures the effective recovery of all company data and information.

PRICES, COSTS AND TAXES

The prices of the services listed on www.woffu.com will be stated in euros unless otherwise indicated and will be guaranteed for their period of validity, except for printing errors and regardless of the order destination.

SERVICES

The final prices of all services, together with their features, offers, discounts, etc., are shown for each of the services offered on www.woffu.com.

Services do not include VAT.

The VAT rate depends on the EU country.

Service prices may change at any time. In this case, the price applied will be the one in force on the date the order is placed. In any event, the final cost will be communicated to the client during the online purchasing process before they formalise their acceptance.

METHODS OF PAYMENT

We offer the following payment methods:

By credit or debit card

You can pay immediately using our bank’s secure SSL payment gateway. If a refund is required or an order needs to be cancelled, the amount will be refunded to the same payment card. All personal and bank information will be protected with full confidentiality by the security measures established in Organic Law 3/2018 on Data Protection and Guarantee of Digital Rights (LOPDGDD) and the General Data Protection Regulation (GDPR).

By bank transfer

By cash deposit or bank transfer to: Bank: Caixabank. Account number: ES55 2100 0555 3502 0234 0252. Please include the client name and order number when making the transfer.

By direct debit

On the order confirmation page, provide the current account number from which payment for your order will be taken. Any refunds will be paid directly into your account.

REFUNDS AND WITHDRAWAL POLICY

As established by law, consumers and users have the right to WITHDRAW from the agreement within a maximum period of 14 calendar days, with no need to give a reason and at no cost, other than those specified in Articles 107.2 and 108 of Legislative Royal Decree 1/2007 of 16 November, which enacts the aforementioned text of the General Law for the Protection of Consumers and Users.

The right to withdraw does not apply in the following circumstances, among others:

Services in course or already provided.

Contracts for the supply of sound or video recordings, discs and IT programs that have been unsealed by the consumer and user, as well as computer files supplied electronically that can be downloaded or reproduced immediately for permanent use.

SERVICES

The deadline for withdrawing from the service agreement is 14 calendar days from the date of the agreement. Users must notify WOFFU of their intention to exercise this right by filling in the form at the end of this document.

Exercise of the right to withdraw will terminate the service.

WOFFU will issue the consumer with acknowledgement of receipt of said withdrawal in a durable medium.

When a client withdraws, WOFFU will refund the amount already paid by the Client within a maximum of 14 calendar days, using the same method the Client used to pay (provided that the service purchased is not among the exceptions mentioned above).

Once we receive your request, we will contact the Client to provide details of the refund.

COMMENTS

Not applicable.

LIABILITY AND EXEMPTION FROM LIABILITY

WOFFU may suspend, withdraw or cancel some or all of the services subject to the agreement at any time with no need to give prior notice. The above provision does not apply to services that are reserved for registered users or which are covered by a previous contract and governed by its specific conditions (Software User Licence).

The website may contain links to other third-party sites and applications. WOFFU shall not be held accountable for any third-party websites and applications accessed via the website; this also applies to the information contained therein.

CUSTOMER SERVICES AND CLAIMS

Any complaints or claims against WOFFU must be referred to the customer services department by calling 932059750 or by sending an email to info@woffu.com.

According to EU online dispute resolution for consumer disputes and in accordance with Article 14.1 of Regulation (EU) No. 524/2013, you are hereby informed that the European Commission provides consumers with an online dispute resolution platform which is available at the following link: http://ec.europa.eu/consumers/odr/.

USE OF LOGOS AND TRADEMARKS

Woffu and the Client agree to the use of their respective logos and brands during the term of the commercial relationship, in accordance with the requirements of the applicable regulations.

This consent may be revoked at any time by written notice to the other party.

APPLICABLE LAW

These conditions are governed by the applicable Spanish law.

The language used will be Spanish.
